Article I — Binding Nature

This SOW constitutes a legally binding contract between CALMNCLASSY DEV and the Client. Payment irrevocably executes this SOW as a digital signature under applicable e-commerce laws.

Article II — Payment

Completing a Payment transaction constitutes: (a) acceptance of deliverables; (b) a binding digital signature; (c) authorization of the milestone. Paystack transaction IDs serve as immutable audit-trail records.

Article III — Non-Refund Policy

All fees are milestone-based. Once a milestone is delivered and accepted (explicitly or via payment), fees become non-refundable. Scope changes require a new SOW.

Article IV — Intellectual Property

Upon full payment, all IP transfers exclusively to the Client. CALMNCLASSY DEV retains portfolio display rights excluding confidential business logic.

Article V — Confidentiality

Both parties maintain confidentiality of all shared information for 3 years post-completion.

Article VI — Liability

Liability shall not exceed total fees paid for the disputed milestone. No indirect or consequential damages apply.

Article VII — Disputes

Disputes resolved first by 30-day negotiation, then binding arbitration under Kenya Arbitration Act (Cap 49).
